- Comprehensive legal counsel in pharmaceutical and regulatory law before COFEPRIS for the management of authorizations, registrations, licenses, permits, and regulatory compliance for various products
- Advised and represented different clients through the audit process to ensure compliance with the requirements set by COFEPRIS and the FDA during health inspection visits.
- Represented the founders of Hospital H + Los Cabos in their initial capital raises and in their negotiations with the private equity fund that acquired a stake in the company.
- Represented Landsteiner Scientific, one of Mexico’s largest and most important pharmaceutical companies, in securing a financing agreement.
- Advised PROBIOMED; in 2018, the company filed for bankruptcy protection due to various challenges it faced as a result of new regulations in the pharmaceutical industry, as well as new requirements imposed by government authorities.
- Represented Sterimed in its acquisition of Especialistas en Esterilización y Envases (EEE), a global leader in the manufacture and distribution of healthcare products, as part of its expansion plans in Latin America.
- Represented Serral Laboratorios in the negotiation and structuring of a joint venture with Pfizer.
- Conducted a study and prepared reports for our clients on cannabis regulation in Mexico.
- Advised Grupo Farmatodo on the negotiation and structuring of a joint venture and a joint investment with Controladora de Farmacias, a subsidiary of Grupo Nadro, Mexico’s largest distributor of pharmaceutical and non-pharmaceutical products.
- Represented Laboratorios Carnot in the acquisition of several industrial properties in Hidalgo, as part of Carnot’s expansion plans within Mexico, covering an area of approximately 80,000 square meters.
- Represented Investigación Farmacéutica S.A. de C.V. in legal proceedings to regain possession of a property located in the city of Cuautla, Morelos.
- Advised VitalMed Inc. regarding its nationwide distribution chain for brand-name and generic drugs.
- Advised various companies on legal strategy and litigation to obtain health registrations for biotechnology drugs and to maintain such registrations.
- Advised the Mexican Association of Pharmaceutical Laboratories (AMELAF) on the negotiation of the intellectual property chapter of the following trade agreements: the Trans-Pacific Partnership (TPP), the North American Free Trade Agreement (NAFTA), and the Free Trade Agreement between the European Union and Mexico. AMELAF is an association of pharmaceutical companies.
- Representation and technical advice to Representaciones del Refugio, S.A. de C.V. in the acquisition of pharmaceutical assets, including the technology for manufacturing a drug used to treat the flu, the drug’s regulatory dossier, the drug’s marketing authorization, the trademarks used to market the drug, and the negotiation of certain licensing and distribution agreements with the seller.
- Represented Serral, S.A. de C.V. in the sale to Pfizer Inc. of the sales licenses for some of its drugs and the transfer of intellectual property.
- Representation of STADA Arzneimittel AG in the due diligence process for the potential acquisition of a Mexican pharmaceutical company. STADA is a German pharmaceutical company specializing in the production of generic and over-the-counter drugs.
- Represented Laboratorios Tornel (a Mexican manufacturer of veterinary products) in an ICC arbitration regarding a failed merger and acquisition transaction.
