Representative Transactions

  • Represented the entrepreneurs of Casa Oasis, New York startup, in overcoming complex land zoning by developing a strategic corporate structure allowing them fundraising and build a boutique mixed use development in Zipolite, Mexico.
  • Represented Reliv Health, a startup that has established itself as Ecuador’s first digital medical ecosystem, in various legal matters, including its capital raising process in the United States and the acquisition of Hospisoft, a Mexican hospital management platform. This strategic transaction will allow Reliv to expand its ecosystem to Mexico and strengthen its presence throughout Latin America.
  • Represented Acrónimo, a sotol startup, in several capital raising and expansion matters to the United States.
  • Represented the shareholders of Grupo Farmatodo in the negotiation of a joint-venture with Grupo Nadro. Farmatodo is a pharmacy chain with strong presence in Puebla and Mexico City. Grupo Nadro is the principle wholesale distributor of pharmaceutical products in Mexico.
  • Represented Prairie Capital in the Mexican portion of the global sale of one of its portfolio companies, Architectural Lighting Work (ALW), a leader in providing interior and exterior architectural lighting solutions with LED lights to LMPG Inc, a leader in LED lighting solutions based in Montreal. The transaction takes place in a context where the country’s maquila industry will benefit from Nearshoring.
  • Represented Swvl in its expansion with the acquisition of Urbvan, the mass transportation technology platform.
  • Advised Sportium during the investment process by Northgate Capital, as well as the negotiation and legal structure to enhance the brand and increase its presence within the fitness industry.
  • Advised Ideas y Capital on internal and transactional matters, including equity and debt financing rounds in Deporprivé, Crowdfunder, Boletia, Dvdendo, Econduce, Nimblr; Amigo Travel Group and Turing Enterprises.
  • Currently represent Rotamundos, a digital chain of social hotels focused on rural tourism in Mexico and Latin America, in the structuring of a pre-seed and seed financing round.
  • Represented InnoHub Mexico in a growth investment by Banco Santander Mexico. InnoHub designs and implements B2B financial technology projects to digitally transform SMEs in Mexico and Latin America.
  • Represented 247 Risk Managers in an equity investment in Bruno Tenedora. Bruno Tenedora will develop cutting-edge technology to provide insurance consulting services through an electronic application to clients in Mexico and South America.
  • Represented Axon Partners in a growth investment in Mercadoni focused on expanding its operations in Mexico.
  • Represented Redwood Ventures in a seed capital investment in Billpocket and Ares Materials.
  • Represented Bamboo Finance in a growth investment and several subsequent rounds of debt financing in FINAE. FINAE is a Mexican company that provides educational financing to students of socioeconomic status. Bamboo Finance is a private equity fund with over $250 million of assets under management with a focus on low-income communities in emerging markets.
  • Represented a group of investors in a Series “A” financing round of a technology company specializing in digital vouchers and electronic documents.
  • Advised the entrepreneurs of Tequila Casa Dragones in the launch of their premium tequila.
  • Represented Hospital H + Los Cabos in the initial equity capital raises and in its negotiations with the private equity fund that acquired a portion of the company.
  • Represented L’Attelier de Chocolat in its negotiations with the private equity fund that acquired a portion of the company.
  • Represented Kiwilimon in its negotiations with the private equity fund that acquired part of the company.
  • Represented a US-based family office in a financing round in a popular indoor-cycling studio with many facilities throughout Mexico City.
