Biography

Luis has more than 25 years of experience. His practice focuses on Private Equity, Venture Capital and Public, Foreign Investment, Mergers & Acquisitions, and Corporate matters, with emphasis on Real Estate transactions. He was a pioneer in Private Equity and Venture Capital, representing equity funds in transactional matters. Currently, he is a Board Member of the LPD Council and member of the Diversity & Inclusion Council of the International Bar Association (IBA) , active mentor of Endeavor Mexico, former president and senior advisor of the Private Equity Committee of the International Section, co-chair of the International Corporate Counsel Committee and senior advisor of the International Private Equity & Venture Capital Committee of the American Bar Association (ABA), as well as treasurer of the Georgetown Club in Mexico.

Luis holds a law degree from the Universidad Nacional Autónoma de México and an LLM from Georgetown University.

 

Experience

  • Advised Casa Dragones (Playa Holding Corporation) on its global expansion to start operations and the sale of its products in new countries, which entails the coordination, negotiation and preparation of several legal documents over multiple jurisdictions and connecting with legal teams of all over the world.
  • Represented The Lost Explorer Mezcal, a handcrafted spirit made in Oaxaca, on all corporate matters.
  • Advised Newell Brands de México in the successful structuring, negotiation, and implementation of a merger with Sunbeam Holdings – a worldwide leader in the production of electric home appliances – to combine the business operations and assets of such entities in Mexico.
  • Advised and represented Newell Brands Inc., a global manufacturer, marketer and distributor of consumer and commercial products, in the successful implementation of a merger that combined the business operations and assets of three of its Mexican subsidiaries in Mexico.
  • Assisted in the corporate global restructure of Q Engineering Plastic Products, on the world lead plastic product solutions providers, due to the acquisition of Mitsubishi of the holding companies.
  • Assisted MediaMonks in the negotiations of the biggest Mexican contract of MediaMonks with Grupo Posadas, to renew its complete marketing structure, app functionality, and media content.
  • Assisted Zuffa LLC/UFC a worldwide leading American sports promotion company specializing in mixed martial arts and the parent entity of the Ultimate Fighting Championship, in all legal matters related to the event including negotiations with Mexico City´s Sports Institute; negotiations and execution of an agreement with the Mexican Mixed Martial Arts regulatory association; review of the agreement between UFC and the venue for the event; negotiation and execution of agreements with medical services and anti-doping testing services related to the mixed martial arts event.
  • Advised Bravos in the acquisition of Energía EUM, a company duly authorized to act as an energy broker (comercializador no suministrador) pursuant to the recent Mexican Energy Reform.
  • Advises and assists Moody’s Investors Service with its operations in Mexico, which include (i) corporate and in-house matters pertaining to its Mexican subsidiary rating agency, Moody’s de Mexico, S.A. de C.V., and (ii) compliance with regulatory obligations.
  • Advised Windjammer Capital Investors, a U.S. private equity firm, in preparing multidisciplinary due diligence (corporate, environmental, regulatory, tax, labor, intellectual property, real estate, product, export, and import) of two Mexican subsidiaries of Engineered Controls International. The total purchase price for this entity and its subsidiaries was approximately $400 million dollars.
  • Represented Yellowstone Club in the acquisition of Hotel Tamarindo, rated as one of the best hotels in Mexico.
  • Advised Cognizant Technology Solutions in connection with the lease of its industrial plants and in its negotiations with its Project Manager and suppliers.
  • Advised ENER-G Natural Power Limited in connection with the implementation and regulatory compliance of the Chiltepeque Landfill Site in Puebla, Mexico, which involves the exploitation of landfill gas for the generation of carbon credits under the Kyoto Protocol and generation of energy from landfill gas.
  • Represented Inmobiliaria Express-Ate in the acquisition of a 12,103 m2 industrial facility in Querétaro, Mexico.
  • Represented Tequila Casa Dragones in connection with the lease of Agave growing fields and a distillery plant in Tequila, Jalisco, and a tasting room in San Miguel de Allende, GTO, which is a Historic site.
  • Represented Carnot Laboratorios in the acquisition of several industrial properties in Hidalgo, as part of Carnot’s expansion plans within Mexico for an approximate surface of 80,000m2.
  • Advised PA Consulting Group in the negotiations related to the renovation and expansion of its leasing office space in Torre Mayor in Mexico City.
Banking & Finance
  • Advised CDC, a Mexican subsidiary of Caribbean Distillers Corporation Limited, in structuring a $5 million dollars revolving credit facility including the preparation of the collateral for the facility, which includes, among others, the Tequila Patrón brand.
  • Advised CSI Leasing México ("CSI") on the structuring of two $20 million dollar loans to expand its operations in Mexico. CSI is a subsidiary of CSI Leasing, the largest independent technology private equity lender in the United States.
  • Advised Bravo Energy México on the structure of a $7 million dollar credit facility for the construction and operation of a plant to collect and refine recycled lubricating oil into petroleum and energy products in Querétaro, Mexico.
  • Represented Black Canyon Capital in the negotiation and structuring of a secured credit facility for $20 million dollar in favor of Inmobiliaria Playa Ensueño, for financing a tourism development in Puerto Peñasco, Sonora.
  • Black Canyon Capital is a private equity fund focused on the acquisition of controlling and non-controlling equity interests and debt instruments.
  • Advised Fortress Investment Group on the acquisition of a $100 million+ portfolio of assets from BBVA Bancomer. Fortress Investment Group is a highly diversified global investment management firm.
Mergers & Adquisitions
  • Advised Clear Channel Outdoor Mexico in the negotiation and implementation of the legal structure of Ecobici, a public transport service by means of shared bicycles that is part of Mexico City's Green Plan. Ecobici is the result of a public-private partnership between the Mexico City Ministry of the Environment and Clear Channel.
  • Advised DB Zwirn (Fortress Investment Group LLC) regarding the acquisition from BBVA Bancomer of a portfolio of non-performing assets valued at $100 million dollars.
  • Advised Eco Cultivos in its acquisition by Silver Ventures, in a transaction valued at $21 million dollars, of a biotechnology industry operation.
  • Represented Espomega in the sale of all its capital and intellectual property to Bunzl, Plc.
    Advised Grupo Farmatodo in the negotiation and structure of a joint venture and a co-investment with Controladora de Farmacias, a subsidiary of Grupo Nadro, the largest distributor in Mexico of pharmaceutical and non-pharmaceutical products.
  • Advised Nortel Networks Corp. and its Mexican subsidiaries in the structuring and documentation of the Mexican portion of a $774 million worldwide acquisition, subject to current asset adjustments, by Ciena Corporation and Ciena's Mexican subsidiary of Nortel's Optical and Ethernet.
Real Estate
  • Advised Stephens Family in the negotiation, structuring and documentation of a multimillion-dollar sale of the real estate known as “Rancho Potrero” in Punta Diamante, a luxurious residential area located in Acapulco Diamante, Guerrero, one of the most iconic and exclusive beaches in Southwestern Mexico.
  • Advised Proyectos ATB, S.A. de C.V., a major real estate developer based in the city of Puebla, with the review, restructuring and renegotiation of several real estate and commercial agreements with current tenants, and independent contractors in connection to Talanta´s real estate housing project in the city of Puebla of approximately 3,000 square meters.
  • Advised BigWhite, S.A. de C.V., Puerto Morelos Aventura, S.A. de C.V. and Daxi Family Group, S.A.P.I de C.V. in connection with a project which market value is USD 50 million. The project will be the group’s flagship in a location where the group has more than 2000 adjacent acres in additional land reserve, as well as a reference in a much sought-after location by international investor.
  • Represented Bebidas Purificadas in the sale of 27 bottling industrial plants to Pepsi Bottling Group.
  • Represented Akivinta on the $250 million pesos acquisition of real estate properties of high commercial value for subsequent sale.
  • Currently represent Karina y Elise Estrada, with the disincorporation of over 140 lots worth $80 million dollars in Cuernavaca, Morelos, held in a trust.
  • Represented Grupo Dahnos against a fine for alleged infringement of certain obligations derived from the environmental impact authorization of a real estate development.
  • Represented Caterpillar in the donation of several real estate properties to a municipality in Northern Mexico.
  • Advised Inverproperties on the planning, development, marketing, and operation of a project of a shopping mall in Huatabampo, Sonora.
  • Advised Fibra Shop as environmental and corporate counsel in several high-value real estate transactions.
  • Advised Urbanizadora San Miguel de Allende on a real estate mix development valued at $3 million dollars, comprising of two hotels, a hospital, and housing development.
  • Advised Moody’s de Mexico in connection with leasing office space in Mexico City.
  • Advised Alpha Comm Enterprises in connection with leasing office space in Mexico City.
  • Advised MediaMonks in connection with leasing office space in Mexico City.
  • Advised Oracle in connection with leasing office space in Mexico City.
  • Advised PeopleSoft Mexico in connection with leasing office space in Mexico City.
  • Advised Nortel Networks in connection with leasing office space in Mexico City.
  • Advised Radial Llanatas in due diligence of its stores within Mexican territory; in the negotiations related to its lease agreements, as well as legal advice in connection with the environmental impact, wastes and, wastewater permits and authorizations of such stores.
Ejidos and Public Consultations
  • Advised Comisión Federal de Electricidad (CFE) on a protocol for consulting procedures to indigenous groups and communities involved in hydroelectric projects.
  • Represented Frontera Propiedades in the disincorporation and acquisition of a 16-km. strip of beachfront communal property.
  • Represented MIO Organization in six different agrarian trials worth $7mm dollars, where the plaintiffs sought to nullify the purchase of 450 hectares of seaside land lots for an up-and-coming resort destination in Tomatlán, Jalisco.
Real Estate Finance
  • Represented a U.S. automobile manufacturer in the approximately $100-million-dollar sale-leaseback of its Mexico City corporate headquarters.
  • Involved in more than $1.3 billion dollars of other commercials, industrial, and hospitality real estate financings by foreign financial institutions.
Digital Real Estate
  • Advised A-Live in connection with compliance with the applicable regulation related to a leasing platform and other commercial contracts.
Private Equity and Venture Capital
  • Represented Ignia Partners in the execution of equity investments in Transparencia Médica and Sumidero projects.
  • Represented the entrepreneurs of Tequila Casa Dragones in the acquisition of a majority position on the company by Byron D. Trott (BDT Capital Partners).
Corporate
  • Represented Quadrant A.G. in all in-house corporate matters. Assistance, several contractual negotiations. Quadrant is a leading global manufacturer of high-performance thermoplastic materials in the form of semi-finished products and finished parts.
  • Advise Syniverse Technologies in all in-house corporate matters. Assistance in contractual matters and advisory in regulatory compliance. Syniverse is a global company that provides technology and business services to telecommunications companies and multinational enterprises.
  • Advise Magaldi Group to expand its presence in Mexico, including the manufacturing of industrial systems. Magaldi is a world-leading manufacturer of and industrial systems.
  • Advised Phoenix International Publications in all in-house corporate matters. Assistance in contractual negotiations in energy matters and advisory in regulatory compliance. Phoenix is a company specialized in education.
  • Assisted Palantir Technologies in all the corporate and legal matters required to update its Mexican subsidiary as part of global compliance in preparation for the IPO of Palantir in the US.
