Our Real Estate practice has broad expertise in the representation of different types of domestic and foreign clients, including investors, developers, builders, landlords, tenants, real estate funds, State and foreign governments in all business sectors in Mexico, such as industrial, retail, hospitality, commercial, and high end residential in the structuring and implementation of suitable investment vehicles and in the operation, supervision, management, marketing, and commercialization of real estate projects.
Our legal advice includes assistance in the legal due diligence process and structuring of a wide range of real estate transactions, such as: financing, lease, acquisition, and disposition of all types of assets, long-term lease agreements, and trust agreements, as well as in the various regulatory issues that arise in connection with such transactions.
Additionally, the members of our team have experience and routinely advise clients in the preparation and negotiation of all types of agreements related to the acquisition and disposition of real estate assets, creation of condominium structures, as well as the disincorporation of real estate plots from commune and agrarian regimes.

Representative Transactions
- Represented GEAR Alimentos and RUBE Alimentos, companies specialized in the production, packing and distribution of tomatoes for export to the U.S. market, in the negotiation process for the sale of their assets to Agrofibra, reaching a value of $20 million dollars.
- Advised Fibra Plus, a Mexican Real Estate Investment Trust (REIT), and its relevant subsidiaries and related companies, in the conduction of an extensive internal property- level real estate due diligence process with respect to 57 individual properties within Mexico, with a total approximate surface of 600,000 square meters.
- Advised Stephens Family in the negotiation, structuring and documentation of a multimillion-dollar sale of the real estate known as “Rancho Potrero” in Punta Diamante, a luxurious residential area located in Acapulco Diamante, Guerrero, one of the most iconic and exclusive beaches in Southwestern Mexico.
- Advised Sotheby’s Concierge Auctions, the world-renowned luxury auction company, in the recent Real Estate deals carried out by Sotheby’s Real Estate auctions branch: Sotheby’s Concierge Auctions (SCA).
- Advised Proyectos ATB, S.A. de C.V., a major real estate developer based in the city of Puebla, with the review, restructuring and renegotiation of several real estate and commercial agreements with current tenants, and independent contractors in connection to Talanta´s real estate housing project in the city of Puebla of approximately 3,000 square meters.
- Represented New-Indy Containerboard in the acquisition of Reliable Container in Tijuana, a subsidiary of Georgia Pacific, which covered Reliable Container assets including two real estate facilities in Tijuana.
- Represented Bertram Capital in the Mexican portion of the global acquisition of Perennials & Sutherland, a leading company in the design and manufacture of acrylic fabric for interiors and exteriors and the development of luxury outdoor furniture.
- Advised Bertram Capital Management in the Mexican portion of the cross-border acquisition of Perennials and Sutherland including all environmental, sanitary, customs, and contractual matters regarding their entity’s facilities located in 3 different Industrial Complex.
- Represented Creation Technologies in the cross-border acquisition of Applied Technical Services and its maquila operations in Mexico in a 33,460 square feet industrial facility in Hermosillo, Sonora. Applied Technical Services is an electronics manufacturing services provider that designs and builds electronics components used in a range of products across industries.
- Advised Newell Rubbermaid Global (NYSE: NWL) in the expansion project of a manufacturing plant in Mexicali, Baja California, in a net investment of over $40 million pesos with the potential of 2,100 new jobs and representation of its subsidiary Electronica BRK de Mexico to operate an industrial facility in Ciudad Juarez, Chihuahua.
- Assisted Ex&Im Bank of China that provided a cross-border facility agreement to a Chinese company to purchase land in Nuevo Leon, Mexico, for the development of an industrial park.
- Advised BigWhite, Puerto Morelos Aventura, and Daxi Family Group, regarding a flagship property development project involving investment of approximately USD30 million in a location where the client group has more than 2,000 adjacent acres in additional land reserve.
- Currently advising Akivinta in the purchase, and regularization of a premium upscale mixed-use residential Real Estate. Akivinta is an emerging real estate agency with properties all-across Mexico’s mayor cities.
- Assisted Compañia Casa Dragones in the negotiations for the acquisition of the new corporate headquarters in Mexico City, in the landmark site of Polanco and in the expansion plans that included a renovation and substantial increase of the capacity production of tequila, assisting them in the process of negotiations for such real estate lands in Tequila, Jalisco and their "Tasting Room" in San Miguel de Allende.
- Advised Bertram Capital Management in the Mexican portion of the cross-border acquisition of Perennials and Sutherland including all environmental, sanitary, customs, and contractual matters regarding their entity’s facilities located in 3 different Industrial Complex.
- Represented PA Consulting Group in the renewal of its lease agreement in Torre Mayor, one of the most important real-estate business complexes in Mexico City located at Paseo de la Reforma.
- Represented MIO Organization in six different agrarian lawsuits valued at $7 million dollars, in which the plaintiffs sought to nullify the purchase and sale of six lands at the seashore (combined area of 450 hectares) in Tomatlán, Jalisco obtaining a favorable resolution.
- Advised Yellowstone Club in the acquisition of Hotel Tamarindo located in Riviera Nayarit, Mexico.
- Advised A-Live in the implementation of its property rental platform.
- Advised Vileberquin in real estate matters related to its presence in the Mexican retail sector.
- Represented Laboratorios Carnot in the acquisition of several industrial properties in Hidalgo, as part of Carnot's expansion plans within Mexico for an approximate area of 80,000 square meters.
- Represented Black Canyon Capital in the negotiation and structuring of a US$20 million secured credit facility in favor of Inmobiliaria Playa Ensueño, to finance a tourism development in Puerto Peñasco, Sonora. Black Canyon is a private equity fund focused on the acquisition of controlling and non-controlling equity interests and debt instruments.
- Represented Bank of America Mexico, as agent for holders of bonds backed by bridge mortgage loans originated by Metrofinanciera, in the financial restructuring of Metrofinanciera.
- Members of the Firm represented Alsis in its credit facility for borrower GDN to acquire at auction from BBVA Bancomer an REO portfolio comprising approximately 5,000 commercial and residential properties, which credit facility is secured by the acquired portfolio and its future sales and operating revenues.
- Members of the Firm represented Afore XXI Banorte in its acquisition of Afore Bancomer from Banco Bilbao Vizcaya Argentaria (BBVA) for US$1.83 billion (named 2012 Deal of the Year by Latin Finance magazine).
- Members of the Firm represented CKD financed vehicles managed by Credit Suisse Mexico in over US$200 million of highly structured mezzanine and quasi-equity loans.
- We advised MediaMonks in the negotiations for the establishment of their Mexico City office; assisting them 6 months later in the expansion of their office, due to the massive success the company is having in Mexico. Mediamonks is the largest digital agency on the planet, a creative digital production company that produces websites, games and films, often to serve the needs of advertising agencies.
- Advised OPUS Hotels Group in the development of the Opus el Playón project in Riviera Nayarit, Mexico.
- Advised Tenedora Reyor in the sale of its equity to the Mexican subsidiary of the Canadian real estate and project development firm UrbanHub.
- Advised Oracle in the negotiation of the early termination of its office leases in Mexico City.
